City Black Card LLC, a Delaware limited liability company (“we,” “us,”, “our”, or the “Company”), respects your privacy and is committed to protecting personal information in accordance with applicable laws. This Privacy Policy explains how we collect, use, disclose, and protect your information when you use our websites, applications, and digital services (collectively, the “Black Card Platform”), and when we otherwise interact with you. 

By accessing and/or using the Black Card Platform, you accept and agree to be bound and abide by this Privacy Policy, and our terms of use available at www.cityblackcard.com/terms (the “Terms of Use”) incorporated herein by reference and to comply with all applicable laws, rules and regulations. If you do not agree with this Privacy Policy and the Terms of Use, please do not use or access the Black Card Platform.

Personal Information

We may collect personal information from you in a variety of ways, including the following key categories and types of personal information:

General personal information: Name, username and password used as login credentials, address, email address and phone number, date of birth, and any other personal information requested by our team to comply with applicable laws.

Demographic information: We may collect optional demographic details (such as age range, gender, or occupation) if you choose to provide them, which we use to personalize your experience with the Black Card Platform.

Financial information: If you choose to make purchases or pay fees through the Black Card Platform, we collect payment and transaction information (such as your payment method, transaction amount, and date/time of transaction) to process those payments.

Geolocation data: General region or area inferred from your interactions (such as IP address or phone number area code), and, if you choose to share it through the app, more precise location information.

Internet or other online activity: Referral channels that led you to access the Black Card Platform, your browsing and click history and information about how you navigate and interact with the Black Card Platform.

Professional/Employment Information: Such as industry, job title, company, or LinkedIn profile information (when you choose to provide it), which we use to personalize your experience, tailor partner access, and create networking group recommendations within the Black Card Platform.

Inferences: We may analyze and use the information we collect (including your usage patterns, request history, and publicly available data) to draw inferences about your preferences, interests, or behavior. For example, we may infer preferred dining times from your activity, assess fulfillment outcomes to tailor future recommendations, cross-reference merchant data to surface relevant offers, or use professional information found online (such as LinkedIn) to verify identity or inform personalized networking opportunities.

Information from public sources. We may obtain information about you and (if applicable) your employer on the Internet or through offline sources and other public or commercial sources.

How We Use Collected Information

We may collect and use your personal information for the following purposes:

To fulfill requests and deliver personalized services. We use your information to process and coordinate Black Card Platform requests, facilitate reservations and access to partner venues, and tailor user experiences, recommendations, and social or networking groupings (for example, recommending venues where members with similar professional profiles are likely to attend).

To personalize offerings and benefits. We use your activity patterns, professional information, and inferred preferences to provide proactive recommendations, tier-based benefits, and curated promotions based on your interests and usage.

For marketing, campaigns, and activations. We may use your information — including usage patterns, engagement data, and professional attributes — to run targeted promotions, merchant campaigns, partner activations, and other outreach we believe may be relevant to you.

To analyze engagement and expand services. We analyze aggregated and anonymized usage, transaction, and engagement data to monitor platform performance, evaluate service demand, inform operational decision-making, and guide future product or market expansion.

To improve recommendations and automate workflows. We use anonymized and aggregated information in internal AI- and rules-based learning loops to improve our recommendation systems, personalization logic, and automated fulfillment tools.

To protect security and ensure compliance. We may use information to prevent fraud, abuse, or unauthorized access; to protect the rights or property of the Company, users, or merchants; and to comply with legal obligations or respond to lawful requests and investigations.

How We Collect Your Personal Information

We collect personal information from the following sources:

Directly. We collect personal information directly from you. When you register for the Black Card Platform, submit information in an online form, request information from us, or otherwise communicate with us or our support personnel, you may provide us with information, for example, your name, email address, phone number and physical address.  By providing us with this information, you consent to your information being collected, used, disclosed, processed and stored by us in accordance with this Privacy Policy.

Passively. We and our service providers collect personal information from you passively from the internet and other automatic data collection tools, such as cookies and web beacons, which are summarized below:

Cookies (or browser cookies). A cookie is a small file placed on the hard drive of your computer. You may refuse to accept browser cookies by activating the appropriate setting on your browser. However, if you select this setting you may be unable to access certain parts of our website. Unless you have adjusted your browser setting so that it will refuse cookies, our system will issue cookies when you direct your browser to our website.

Web Beacons. Pages of our website may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit the Company, for example, to count users who have visited those pages or and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity).

Tracking Tools. We use the following tracking tools:

Google Analytics and Adwords: We use Google tools such as Google Analytics and Google Adwords to understand how users use our website. This includes looking at where a visitor comes from and where they go when they leave our site. Google Analytics provides an opt-out for its tool here.

Other tracking tools: We may deploy other automatic tracking tools in the future. Similar to the tools we currently use, such future tracking tools will track data about our visitors only in the aggregate and on an anonymized basis and will not reveal personal information about you.

To Whom We Share Your Personal Information 

We may share your personal information with the following categories of recipients, as permitted by law:

With service providers who do things on our behalf. For example, we may share general personal information with third-party service providers who perform services on our behalf, including payment processors, SMS/email gateways, analytics vendors, booking platforms, customer support providers, and point-of-sale (POS) system integrators. Such providers may be located outside the United States in jurisdictions that may not offer the same level of data protection as your own.

With merchant and experience partners in connection with providing the services via the Black Card Platform. We may share your information with third-party partners at your request or when required to coordinate or fulfill a requested reservation, visit, experience, or benefit available through the Black Card Platform. 

With partners for research and data purposes in connection with developing and improving the Black Card Platform. We may share your information with third-party partners who help us in developing and improving the Black Card Platform. Information shared for such purpose shall be anonymized and the third parties in which we share such information shall be subject to non-disclosure obligations.

In accordance with applicable law. We may share your information with the appropriate authorities without your consent if we believe disclosure is in accordance with, or required by, any applicable law, including in response to lawful requests by public authorities to provide information to deter and combat fraud, money-laundering, securities violation, data and privacy breaches or for other legal purposes.

In connection with sale of the Company. In the event of a reorganization, merger, or sale we may transfer your personal information we collect to the relevant third party.

With other users and third parties you interact or share information with. Certain features of the Black Card Platform may allow you to interact or share information with other users or third parties. Information you share with third parties is governed by their own terms and privacy policies, and you should make sure you understand those terms and policies before sharing information with them.

With our subsidiaries and affiliates. We may disclose or share your information with our subsidiaries and affiliates to further facilitate your use of our websites and the Black Card Platform.

How We Share Your Information

With your consent. We may disclose or share your information with your consent. We may obtain your consent in writing; online, through "click-through" agreements; when you accept the terms of use on our website; orally, either in person or on the phone; or by other means.

In a business transfer. We may disclose or share your information as part of a corporate business transaction, such as a merger or acquisition, joint venture, corporate reorganization, financing, or sale of company assets, or in the unlikely event of insolvency, bankruptcy, or receivership, in which such information could be transferred to third parties as a business asset in the transaction.

To non-affiliated third parties. We may disclose or share your information with certain non-affiliated third parties for a variety of business purposes, including but not limited to facilitate your access and use of the Black Card Platform. Those third parties may include, but may not be limited to internet service providers and other related professionals, advertising networks, data analytics providers, governmental entities, operating systems and platforms, social media networks, and service providers who provide us a service.

For legal process and protection. We may disclose or share your information to satisfy any law, regulation, legal process, governmental request, or where we have a good faith belief that access, use, preservation or disclosure of such information is reasonably necessary to:

Protect our rights or interests, property or safety or that of others;

In connection with claims, disputes, or litigation - in court or elsewhere; and

Protect users of our website and Black Card Platform and other carriers or providers from fraudulent, abusive, or unlawful use.

Use of Data for AI Model Training and Improvement

We use certain information collected through the City Black Card Platform to train, develop, and improve our internal artificial intelligence models and personalization systems. This may include: (i) interaction data, such as timing preferences, communication channel choices (e.g., SMS vs. app), and campaign response rates; (ii) request and fulfillment patterns (including segment-level usage of credits, perks, and services); and (iii) aggregated point-of-sale (POS) transaction data from participating merchant partners (e.g., venue, type of transaction, and timestamp) used to improve relevance of recommendations and offers.

Where feasible, we de-identify or aggregate data prior to its use for model training. We do not use payment method information (e.g., card numbers or billing details) or the content of private messages to train any external AI systems. All internal model improvements are performed only on anonymized or aggregated interaction and transaction data, and access is limited by contractual and technical controls. The purpose of this processing is to enhance the quality, accuracy, and personalization of services delivered through the platform while minimizing the use of identifiable personal information.

We Do Not Sell Your Personal Information

We do not sell, trade, or rent your personal information to others.

Notice of Sales of Personal Information

In the preceding twelve (12) months, we have not sold any personal information.

Third-Party Links and Websites

The Black Card Platform may provide links or access to external third-party services, including but not limited to booking platforms, merchant offers or promotions, loyalty programs, and event or experience pages, that are not controlled by the Company (collectively, “Third-Party Services”). We are not responsible for the content, privacy practices, or terms of any such Third-Party Services, and the inclusion of a link or integration does not imply endorsement. Your interactions with any Third-Party Services are governed by their own terms, conditions, and privacy policies.

Our Content on Third-Party Services

Some features of the Black Card Platform may be hosted on or accessed through Third Party Services. We do not control, and are not responsible for, the content, security, or privacy practices of any Third-Party Services. Your interactions with those services are subject to their own terms and privacy policies, and any information you choose to provide to them is done at your own risk.

We may also use third-party advertising or remarketing services to serve offers or promotions to you on other websites or applications. These third-party providers may use tracking technologies (such as cookies or pixels) to deliver ads based on your activity on the Black Card Platform and elsewhere online. Those providers’ collection and use of data are governed by their own privacy policies.

Where Your Information Is Stored

User data is stored on servers located in the United States. If you are located outside the United States, your information will still be transferred to, processed, and stored in the United States. These transfers are carried out in accordance with applicable data protection laws and, where required, subject to appropriate safeguards designed to protect your information. By using the Black Card Platform or providing information to us, you acknowledge and consent to the transfer and processing of your personal information in the United States, which may not provide the same level of data protection as the laws in your home jurisdiction.

Information Security

We strive to use commercially reasonable security technologies and procedures to help protect your personal information from unauthorized access, use or disclosure, but no method of transmission over the Internet, or method of electronic storage, is 100% secure. While we cannot guarantee absolute security, we implement and maintain reasonable security measures to protect your personal information. 

How Long We Keep Your Information

We retain your personal information only for as long as reasonably necessary to: (i) provide, support, and improve the Black Card Platform; (ii) comply with regulatory, legal, or contractual obligations; and (iii) enhance the operational performance and user experience of the Black Card Platform. Usage data may be maintained for a shorter period unless it is required to improve functionality, address security, or comply with applicable law. In some cases, personal information may be anonymized or aggregated so that it no longer identifies you; such anonymized information may be retained for internal analytics and system-learning purposes.

The Black Card Platform Is Not Intended For Children

The Black Card Platform is not directed to children under the age of 18. We do not knowingly collect information, including personal information, from children. If we obtain actual knowledge that we have collected such information from children, then we will promptly delete it. Information for European Economic Area Residents

If you are a resident of the European Economic Area (“EEA”), you have certain rights and protections under applicable law regarding the processing of your personal information. The term “personal information” has the meaning given to it by the European General Data Protection Regulation (“GDPR”).

When we process your personal information as described in this Privacy Policy, we will only do so when we have a legitimate interest in processing your personal information (for example, our legitimate interest in providing the Black Card Platform, responding to your inquiries, or sending you marketing communications), when the processing is necessary for the performance of a contract between you and us, when the processing is necessary for us to comply with the law, or when you give us consent to process your personal information.

You have the right to revoke your consent at any time. You also have the right to access personal information we hold about you and to ask that your personal information be corrected, erased, or transferred. You may also have the right to object to, or request that we restrict, certain processing. If you would like to exercise any of these rights, you may contact us as indicated below. If you have a concern about our processing of personal information that we are not able to resolve, you have the right to lodge a complaint with the data privacy authority where you reside.

"Do Not Track" Policy as Required by California Online Privacy Protection Act (“CalOPPA”)

Our Service does not respond to Do Not Track (“DNT”) signals. However, some third-party websites do keep track of your browsing activities. If you are visiting such websites, you can set your preferences in your web browser to inform websites that you do not want to be tracked. You can enable or disable DNT by visiting the preferences or settings page of your web browser.

Your California Privacy Rights

If you are a California resident, California's "Shine the Light" law (Civil Code Section § 1798.83) permits users of the Black Card Platform to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes and to opt-out of sharing your personal information with such third parties. To make such a request, please send an email to privacy@cityblackcard.com.

Usage and Deletion of Personal Information

You may request what personal information we have collected, used and disclosed about you as well as the identity of the third parties to which we have disclosed your personal information. You may also request deletion of your personal information. Please note that we may not delete all of your information if: (1) we need it to complete a service as requested by you or perform under a contract we have with you; (2) we need such information to repair any errors to the Black Card Platform or detect data security violations; (3) we need such information to protect against fraud or illegal activity or to comply with applicable law; or (4) we determine in our sole discretion that we need such information to protect our rights or ensure compliance with our Terms of Service. Please note that if we delete your personal information, we may not be able to provide you access to the Black Card Platform with the same functionality.

Changes to this Privacy Policy

We may update this Privacy Policy from time to time. When we make changes, we will post the updated policy on our website and app with the effective date indicated at the top. If a change materially affects how we use your personal information, we will also notify you via email or SMS and provide a summary of the key updates along with a link to the revised policy. Subject to applicable law, your continued use of the Black Card Platform after any update to this Privacy Policy becomes effective constitutes your acceptance of the revised terms.
